TERMS AND CONDITIONS OF TRADE - CREATIVE STARTUP NZ

1. SERVICES AND DEFINITIONS 

1.1 "The Company" means Creative Startup NZ. 

1.2 "Services" includes Logo Design, Website Design (Google Sites), SEO Audits, and Consulting. 

1.3 "Full Launch Protocol": A bundled service comprising Logo, Website, Strategy, and Stripe Integration.

2. PRICE AND PAYMENT 

2.1 Pricing: Prices are fixed as advertised (e.g., $215.99 for 5-Page Website, $360.97 for Full Launch). 

2.2 Stripe Fee Absorption: The Company absorbs all standard Stripe transaction fees. The price displayed is the final price. No surcharge is applied to the Client. 

2.3 Payment Terms: Payment is due in full prior to the commencement of work to secure the scheduling slot.

3. "NO DIGITAL HOSTAGE" GUARANTEE (IP TRANSFER) 

3.1 Transfer of Title: Upon full payment, the Company assigns to the Client all Intellectual Property Rights in the final deliverables. 

3.2 Google Sites: For website services, "Delivery" constitutes the transfer of "Owner" status of the Google Site to the Client’s Google Account. The Client acknowledges they are responsible for their own Google Workspace or Gmail account security post-transfer.

4. WARRANTIES 

4.1 45-Day Warranty: The Company provides a 45-day warranty on Website code and links, commencing from the date of delivery. This covers bugs and technical errors. It excludes issues caused by Client modifications or changes to the Google Sites platform itself. 

4.2 No Earnings Guarantee: In line with our policy against "business seminar scams," the Company makes no guarantee regarding the Client's future revenue, traffic, or business success resulting from our Services or Consulting.

5. CONTRACTING OUT (BUSINESS USE) 

5.1 The Client acknowledges that they are acquiring the Services for the purposes of a business and that the provisions of the Consumer Guarantees Act 1993 shall not apply.   

6. DISPUTE RESOLUTION 

6.1 Mediation: In the event of a dispute that cannot be resolved within 5 working days, the parties agree to refer the matter to mediation via the Resolution Institute (NZ) prior to commencing any court proceedings. This replaces any previous informal dispute timeframes.

7. CANCELLATION AND REFUNDS 

7.1 Change of Mind: No refunds are provided for "change of mind" once work has commenced. 

7.2 Bundled Services: If the Client cancels a "Full Launch" package partway through, the Company reserves the right to charge the full list price for individual services already delivered (e.g., Logo) rather than the discounted bundle rate.
